These Terms of Service ("Terms") govern your access to and use of the Chativo platform operated at https://chativo.in and app.chativo.in by Arbind Digital Solutions. By creating an account or using the service you agree to these Terms. If you do not agree, do not use the service.
1. Description of Service
Chativo is a cloud-based Software-as-a-Service (SaaS) platform that enables businesses to send, receive, and automate WhatsApp messages using the Meta WhatsApp Business API (Cloud API). Features include a shared team inbox, contact CRM, broadcast campaigns, a visual flow builder, message templates, and analytics. Chativo operates as a registered Business Solution Provider (BSP) accessing Meta's WhatsApp Business API on behalf of its customers.
2. Eligibility
You must be at least 18 years old and have the authority to bind the business entity you represent. By using the service you represent that you meet these requirements. Use by individuals under 18 is not permitted.
3. Account Registration
You must provide accurate, current, and complete information when creating an account. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us immediately at legal@chativo.in if you suspect unauthorised access.
4. Subscriptions and Billing
Plans
Chativo is available on a free 14-day trial and paid monthly plans. Plan limits on WhatsApp numbers, seats, and features are displayed on the pricing page and enforced at the platform level.
Free Trial
New accounts receive a 14-day free trial with full access. No charge is made until the trial ends. You may cancel at any time during the trial at no cost.
Billing Cycle
Subscriptions are billed in advance on a monthly cycle via Razorpay. Fees are non-refundable except as required by applicable law or as stated in our refund policy.
Price Changes
We may change plan prices with at least 30 days' notice. Continued use after the effective date constitutes acceptance of the new pricing.
WhatsApp Conversation Fees
Meta charges conversation-based fees for WhatsApp Business API usage. These fees are separate from your Chativo subscription. You are responsible for understanding and managing Meta's fees directly through your Meta Business account.
5. Acceptable Use
You agree to use Chativo only for lawful business communication. You must not:
- Send spam, unsolicited bulk messages, or messages to contacts who have not opted in
- Send content that violates Meta's WhatsApp Business Policy or Commerce Policy
- Use the service to distribute malware, phishing content, or illegal material
- Attempt to reverse engineer, decompile, or extract source code from the platform
- Resell, sublicense, or white-label the service without a separate written agreement
- Circumvent plan limits or usage restrictions through technical means
- Impersonate another business or individual
- Use the service in jurisdictions where WhatsApp Business API is prohibited
- Use Meta platform data for any purpose not disclosed in these Terms or our Privacy Policy
- Scrape, mine, or collect data from the platform in an automated manner without prior written consent
We may suspend or terminate accounts that violate these rules without prior notice. Repeated violations may result in a permanent ban.
6. Meta Platform Terms & WhatsApp Business Policy
Your use of Chativo is subject to — and you agree to comply with — the following Meta policies, which are incorporated by reference:
You are solely responsible for:
- Obtaining valid opt-in consent from every contact before messaging them through Chativo
- Honouring opt-out and stop requests promptly (within 24 hours)
- Ensuring all message templates comply with Meta's content guidelines and are approved before use
- Maintaining records of consent for your WhatsApp contacts
- Not using WhatsApp to send prohibited content categories (e.g., adult content, weapons, substances)
Chativo is not responsible for Meta's approval or rejection of your WhatsApp Business Account, phone numbers, or message templates. Meta may independently suspend or terminate access to the WhatsApp Business API for policy violations, and such action by Meta does not entitle you to a refund of Chativo subscription fees.
7. Data Processing & Privacy
Data Ownership
You retain ownership of all data you input into the platform — contacts, messages, templates, and flow designs. You grant Chativo a limited, non-exclusive licence to process that data solely to deliver and improve the service.
Data Controller / Processor Relationship
With respect to your WhatsApp contacts' personal data, you act as the data controller and Chativo acts as the data processor. You are responsible for having a lawful basis for processing that data and for informing your contacts about how their data is used. Chativo processes that data only on your documented instructions.
Meta Platform Data
Data received from Meta APIs (WABA IDs, phone number IDs, access tokens, message content) is used exclusively to operate Chativo on your behalf. It is not used for advertising, profiling, or sold to third parties. See our Privacy Policy for full details. Business customers who process WhatsApp contact data through Chativo may request a Data Processing Agreement (DPA) by emailing legal@chativo.in. The DPA governs the controller-processor relationship, sub-processor disclosures, security obligations, and data subject rights assistance in detail.
Data Deletion
You may request deletion of all data held by Chativo at any time. See our Data Deletion page for instructions.
8. Intellectual Property
The Chativo name, logo, platform design, and underlying software are owned by Arbind Digital Solutions and protected by intellectual property laws. These Terms do not grant you any rights to use our trademarks or branding. You retain all rights to content you create using the platform (messages, templates, flow designs). WhatsApp® and the WhatsApp logo are registered trademarks of Meta Platforms, Inc. Chativo is an independent service and is not affiliated with, endorsed by, or sponsored by Meta.
9. Uptime and Service Levels
We target 99.5% monthly uptime for the core platform, excluding scheduled maintenance (announced 48 hours in advance) and events beyond our reasonable control. Message delivery is ultimately dependent on Meta's WhatsApp Cloud API infrastructure. Chativo is not liable for delivery failures, rate limiting, or service interruptions caused by Meta's systems.
10. Limitation of Liability
To the maximum extent permitted by law, CHATIVO AND ITS OFFICERS, DIRECTORS, AND EMPLOYEES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 3 MONTHS PRECEDING THE CLAIM.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES.
12. Indemnification
You agree to indemnify, defend, and hold harmless Chativo and its affiliates from any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the service; (b) your violation of these Terms; (c) your violation of Meta's WhatsApp Business Policy or Platform Terms; (d) your failure to obtain proper consent from WhatsApp contacts; or (e) infringement of any third-party right by your content or actions.
13. Termination
By You
You may cancel your subscription at any time from the Billing settings page. Cancellation takes effect at the end of your current billing period; you retain access until then.
By Us
We may terminate or suspend your account immediately for material breach of these Terms, violation of Meta's policies, fraudulent activity, or non-payment, with or without prior notice. Upon termination we will provide a 14-day window to export your data before deletion.
By Meta
Meta may independently revoke access to the WhatsApp Business API or your WhatsApp Business Account. Such revocation by Meta does not constitute a breach by Chativo and does not entitle you to any refund of Chativo subscription fees.
14. Governing Law
These Terms are governed by the laws of India. Any disputes shall first be attempted to be resolved through good-faith negotiation within 30 days. If unresolved, disputes shall be submitted to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (India). The seat and venue of arbitration shall be Guwahati, Assam, India. The arbitration shall be conducted by a sole arbitrator mutually agreed upon by both parties, or if no agreement is reached within 15 days, appointed by the relevant authority under the Act. Proceedings shall be in English. Nothing in this clause prevents either party from seeking urgent injunctive relief from a competent court.
15. Force Majeure
Neither party shall be liable for delays or failure to perform resulting from causes beyond their reasonable control, including but not limited to: Meta API outages or policy changes, acts of God, governmental actions, internet infrastructure failures, third-party service provider outages, or regulatory orders. The affected party must notify the other within 5 business days of the force majeure event.
16. Changes to These Terms
We may update these Terms at any time. We will notify you of material changes via email or an in-app notice at least 14 days before the changes take effect. Continued use of the service after the effective date constitutes acceptance of the updated Terms.
